01Agreement to Terms

By accessing or using the ScaleLogix website, registering for our webinar, or engaging our services, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

02Description of Services

ScaleLogix builds, staffs, and launches AI services businesses on behalf of clients under a one-time build agreement. The webinar described on this site is a free educational broadcast explaining the structure of that build. Key characteristics:

• Build and handover, not management. ScaleLogix delivers a turnkey operating business to the client, including the LLC, infrastructure, trained staff, and an initial client book. After handover, the client owns and operates the business.
• 100% client ownership. ScaleLogix retains no equity, no royalty, no revenue share, and no territorial restriction over the business it builds for a client.
• Not a franchise. The relationship is a services engagement, not a franchise grant. There is no franchise system, no required operating manual obligation, and no franchise fees beyond the one-time build fee.
• Not a security or investment offering. Purchase of the build is purchase of services, not a security or managed investment. ScaleLogix is not an investment advisor, broker-dealer, or securities issuer. Nothing on this website, in the webinar, or in our communications constitutes investment advice.

03Eligibility

You must be at least 18 years old and legally able to enter into contracts in your jurisdiction. You must meet all qualification requirements as determined through our application process. ScaleLogix reserves the right to accept or reject any application at its sole discretion.

04Capacity

ScaleLogix runs a finite number of build engagements at any given time in order to maintain quality. Acceptance into the program is not guaranteed and is subject to availability and fit.

05Fees and Payment

The webinar is free. Fees for the build are disclosed during the qualification and discovery process that follows. All fees, payment schedules, build milestones, and post-handover obligations will be set forth in a separate services agreement executed between you and ScaleLogix.

06Risk Acknowledgment

By engaging our services, you acknowledge and agree that:

• Operating a business involves substantial risk, including loss of capital
• No revenue, profit, or return on capital is guaranteed
• You may lose more than your initial build investment (e.g., through ongoing payroll and operating costs)
• Any prior-operator results discussed in the webinar or in our materials are illustrative and do not predict your results
• You have read and understood our Risk Disclosure

07Intellectual Property

All content on this website and in the webinar broadcast, including text, graphics, logos, slide materials, recordings, and proprietary playbooks, is the property of ScaleLogix and is protected by intellectual property laws. The ScaleLogix build methodology, internal tooling, and related technology are proprietary and confidential. You may not record, reverse-engineer, decompile, or redistribute any ScaleLogix proprietary material outside the scope expressly granted in your services agreement.

08Termination

Either party may terminate the services relationship in accordance with the executed services agreement. After handover, the client-owned LLC continues to operate independently of ScaleLogix. ScaleLogix reserves the right to terminate access to its services for violation of these terms or for any other reason at its discretion, subject to the services agreement.

09Limitation of Liability

To the maximum extent permitted by law, ScaleLogix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, business losses, data, or other intangible losses, arising from your use of or inability to use the services or from the operation of the business built on your behalf.

10Disclaimer of Warranties

The services are provided "as is" and "as available" without warranties of any kind, either express or implied. ScaleLogix does not warrant that the services will be uninterrupted, error-free, or that the resulting business will achieve any particular revenue, profit, or operational result.

11Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration.

12Changes to Terms

ScaleLogix reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the services after changes constitutes acceptance of the new terms.
